The invention discloses polymer-grade diketone dianhydride 4,4'-terephthaloyl diphthalic anhydride, which is as shown in the formula in the specification, and a preparation method thereof. The preparation method comprises the following steps: adopting o-xylene and terephthaloyl chloride (TPC) as the initial materials; and preparing the polymer-grade TDPA (4,4'-Terephthaloyl Diphthalic Anhydride) through a three-step reaction of Friedel-Crafts acylation reaction, oxidization, dehydration-cyclization as well as purification treatment, wherein the total yield of the polymer-grade TDPA is 84%, and the polymer-grade TDPA can be used as monomer of high molecular weight diketone anhydride type polyimide.
